1. Description of Services

VerifyPortal.ai provides a professional-grade compliance engine that utilizes a Hybrid Matching Architecture—combining “Fuzzy” Semantic AI, Deterministic Identifiers, and Human-in-the-Loop (HITL) oversight—to screen individuals and entities against federal and state exclusion databases (including OIG, SAM, and State Medicaid lists).

2. User Responsibilities & Professional Use

  • Authorized Use: You agree to use the Services only for legitimate compliance, credentialing, and risk management purposes.
  • Data Accuracy: You are responsible for the accuracy and completeness of the data you upload for screening. Professional-grade results require high-quality inputs (NPI, SSN, and full legal names).
  • Legal Authority: You represent and warrant that you have the legal authority or consent to process the personal information of the individuals you submit for screening.

3. Human-in-the-Loop (HITL) Acknowledgement

You acknowledge that while VerifyPortal.ai utilizes advanced Semantic AI to identify phonetic matches and aliases, automated results are not legal determinations. * Verification: VerifyPortal.ai provides expert HITL validation for ambiguous matches. However, the final decision to hire, contract with, or terminate an individual based on screening results remains the sole responsibility of the Customer.

  • No Legal Advice: Our reports provide data-driven insights and are not a substitute for legal counsel.

4. Intellectual Property

  • Ownership: All content, software, “Fuzzy” matching algorithms, AI models, logos, and proprietary screening workflows are the exclusive property of VerifyPortal.ai.
  • Restrictions: You may not decompile, reverse engineer, or attempt to extract the source code of our Hybrid Matching Architecture. You are prohibited from using automated systems (crawlers/scrapers) to harvest data from our platform.

5. Fees and Payment

  • Subscription: Access to the Services is provided on a subscription or per-search basis as defined in your specific Service Agreement.
  • Automatic Renewal: Unless otherwise stated, subscriptions will automatically renew at the end of each term. You must provide 60 days’ notice for cancellation.
  • Late Payments: Failure to maintain an active payment method may result in a temporary suspension of screening services, which may impact your regulatory compliance standing.

6. Privacy and Data Security

6.1 Professional-Grade Data Protection

Given the sensitivity of compliance data, we implement industry-standard security measures to safeguard all user information:

  • Encryption: All data is encrypted at rest using AES-256 and in transit via TLS 1.2+ protocols.
  • Data Obfuscation: We employ data obfuscation techniques as a core security pillar to ensure that sensitive identifiers are shielded from unauthorized access.
  • Human-in-the-Loop (HITL) Oversight: To ensure accuracy, our HITL process requires that AI-driven matches are verified by trained professionals before final reporting, significantly reducing false positives and ensuring data integrity.

6.2 HIPAA & HITECH Compliance

While the service may be used for general PII (Personally Identifiable Information) such as employee screening, we are equipped to function as a Business Associate for clients handling Protected Health Information (PHI):

  • Compliance: We comply with all applicable HIPAA and HITECH requirements regarding the administrative, physical, and technical safeguards of electronic PHI.
  • BAA Required: Use of our platform for the processing of PHI is strictly subject to the execution of a formal Business Associate Agreement (BAA).

6.3 User Responsibilities

You are solely responsible for maintaining the confidentiality of your account credentials and the security of your Multi-Factor Authentication (MFA) devices. Any actions taken under your account are your responsibility.

7. Limitation of Liability

To the maximum extent permitted by law, VerifyPortal.ai shall not be liable for:

  • Indirect, incidental, or consequential damages (including loss of revenue or CMS/OIG fines) resulting from your use of the Services.
  • Incomplete Primary Source Data: Our Services rely on public government databases. We are not responsible for errors, omissions, or delays in updates within the official OIG, SAM, or State Medicaid files themselves.
  • Total Liability Cap: Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you for the Services during the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless VerifyPortal.ai from any claims, damages, or regulatory penalties arising from your unauthorized use of the data provided or your failure to act upon confirmed exclusion matches.

9. Term and Termination

We reserve the right to suspend or terminate your access to the platform immediately if:

  • You violate these Terms or any applicable healthcare laws.
  • You fail to pay the required fees.
  • Your use of the platform poses a security risk to our AI infrastructure.

10. Governing Law

These Terms shall be governed by the laws of the State of Maryland, without regard to its conflict of law provisions. Any legal action shall be brought in the courts located in Baltimore County/Baltimore.

11. Changes to Terms

We may update these Terms to reflect changes in AI technology or healthcare regulations (such as new OIG mandates). We will notify you of material changes via email or a dashboard notification.
